Abstract

SEVERIN FUSTER, Gonzalo. Unilateral termination of long-term contracts in the UNIDROIT Principles of International Commercial contracts 2016. Bol. Mex. Der. Comp. [online]. 2020, vol.53, n.159, pp.1235-1267.  Epub Jan 21, 2022. ISSN 2448-4873.  https://doi.org/10.22201/iij.24484873e.2020.159.15805.

This paper deals with the regulation of unilateral termination of long-term contracts within the fourth edition of the UNIDROIT Principles for commercial international contracts (PICC) of 2016. In particular, the work focuses in two cases. First, the right to terminate the contract for an undefined period (recognized in article 5.1.8 PICC). And second, the proposal -by the members of the Working team that prepared this fourth edition- to include a right to unilateral termination in the case of long-term contracts for a defined period, based on “compelling reasons”.

Keywords : contract law; long-term contracts; unilateral termination; uniform law; UNIDROIT Principles.
