Abstract

ROCHA GONZALEZ, Jorge Miguel. Boards of directors and corporate governance in Mexico. Rev. Mex. Sociol [online]. 2011, vol.73, n.2, pp.261-295. ISSN 2594-0651.

The structure formed by the participation of members of various boards of directors for the 115 firms quoted on the Mexican Stock Exchange in 2004 is analyzed in light of theories that have been proposed to explain the nature and function of these forms of corporate governance at the level of both firms and society as a whole. It is argued that sociological and political economy theories are more useful for explaining the empirical patterns found. The implications of these results for the development of theories on the varieties of capitalism are discussed.
