Abstract

This article studies the effects of the global economy on business enterprises, on investors and in particular, on the minority shareholders of corporations, from a legal point of view. The author argues that within corporations there are usually differences of opinion and conflicts of interest among their members (ie majority vs. minority shareholders), which may affect the performance of the enterprise. The author proposes that it is necessary to search for a point of balance between the majoritarian principle and the protection of the minority, linking her discussion to the tendency towards the increment of foreign capital in Mexican corporations.
